Terms of Service

These Terms of Service ("Terms") constitute a legally binding agreement between you and AI Makers LLC, a New Mexico limited liability company registered at 1209 Mountain Road Pl NE, Ste N, Albuquerque, NM 87110, United States, which operates VeoStudio ("AI Makers LLC," "Company," "we," "us," or "our") concerning your access to and use of the VeoStudio platform at veostudio.ai (the "Service").

1.1 Eligibility

You must be at least 13 years old (or 16 in certain jurisdictions) to use the Service. If you are under 18, you must have permission from a parent or legal guardian. By using the Service, you represent and warrant that you meet these requirements.

1.2 Account Responsibilities

When you create an account, you agree to:

• Provide accurate, current, and complete information
• Maintain the security of your password and account
• Notify us immediately of any unauthorized access or security breach
• Accept responsibility for all activities that occur under your account
• Not share your account credentials with others

1.3 Account Termination

We reserve the right to suspend or terminate your account at any time if you violate these Terms or engage in fraudulent, abusive, or illegal activity.

2.1 Limited License

Subject to your compliance with these Terms, we grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Service for your personal or commercial purposes.

2.2 Restrictions

You agree NOT to:

• Modify, copy, distribute, or create derivative works of the Service
• Reverse engineer, decompile, or disassemble the Service
• Use automated systems (bots, scrapers) to access the Service without permission
• Circumvent any technical limitations or security measures
• Resell, sublicense, or redistribute the Service or AI-generated content without proper rights
• Use the Service to compete with or build a competing product
• Access the Service through unauthorized means or APIs

3.1 Your Content

You retain ownership of all content you upload to the Service ("Your Content"), including text prompts, images, and other materials. By uploading Your Content, you grant us a worldwide, non-exclusive, royalty-free license to use, store, reproduce, modify, and display Your Content solely to provide and improve the Service.

3.3 Public Gallery

If you choose to publish content to our public gallery, you grant us and other users a non-exclusive license to view, share, and reference that content. You may remove content from the public gallery at any time.

3.4 Our Intellectual Property

The Service, including its design, features, code, trademarks, and all intellectual property rights, are owned by AI Makers LLC / VeoStudio. These Terms do not grant you any rights to our intellectual property except as expressly stated.

You agree not to use the Service to create, upload, or generate content that:

• Is illegal, harmful, threatening, abusive, harassing, defamatory, or hateful
• Contains nudity, sexually explicit material, or pornography
• Promotes violence, terrorism, or self-harm
• Infringes on intellectual property rights, privacy rights, or other legal rights
• Contains malware, viruses, or other malicious code
• Impersonates any person or entity or misrepresents your affiliation
• Promotes discrimination based on race, religion, gender, disability, or other protected characteristics
• Exploits or harms minors in any way
• Contains false, misleading, or deceptive information (deepfakes without disclosure)
• Violates any applicable law or regulation

5.1 Pricing

Our Service operates on a pay-as-you-go token system and optional subscription plans. Current pricing is available on our Pricing page. We reserve the right to modify pricing with 30 days' notice to existing subscribers.

5.2 Payment Processing

Payments are processed through Stripe and PayPal. By making a purchase, you agree to their respective terms of service. You authorize us to charge your payment method for all fees incurred.

5.3 Token Credits

• Tokens are consumed when you generate AI content (videos, images, music, etc.)
• Token costs vary by content type and quality (e.g., Veo 3.1 Quality mode: 60 tokens, Fast mode: 30 tokens per 8-second video)
• Purchased tokens do not expire unless your account is terminated
• Tokens are non-refundable once used to generate content
• Unused tokens from canceled subscriptions remain available for use

5.4 Subscriptions

• Subscriptions auto-renew monthly or annually unless canceled
• You can cancel at any time through your account settings or Stripe customer portal
• Cancellations take effect at the end of the current billing period
• No refunds for partial subscription periods

5.5 Refund Policy

5.6 Free Trial

New users may receive a free trial period with limited credits. Free trial terms are subject to change and may include usage limits. Only one free trial per user/household.

Our Service integrates with third-party AI services (Google Gemini, VEO, Imagen; OpenAI; Anthropic Claude). Your use of these underlying technologies is subject to their respective terms of service and usage policies:

We are not responsible for the availability, accuracy, or functionality of third-party services. Changes to third-party APIs may affect Service features.

7.1 Service Uptime

We strive to maintain high availability but do not guarantee uninterrupted access. The Service may be unavailable due to maintenance, updates, or factors beyond our control (third-party API outages, network issues).

7.2 Modifications

We reserve the right to modify, suspend, or discontinue any aspect of the Service at any time, with or without notice. We may add, remove, or change features, pricing, or token costs.

7.3 Beta Features

Some features may be labeled as "beta," "experimental," or "preview." These features are provided "as is" and may be unstable, incomplete, or subject to change without notice.

8.2 AI-Generated Content Disclaimer

AI-generated content may contain errors, inaccuracies, biases, or unexpected results. We do not guarantee the quality, accuracy, or suitability of AI-generated content for any purpose. You are solely responsible for reviewing and verifying all generated content before use.

8.3 Limitation of Liability

You agree to indemnify, defend, and hold harmless AI Makers LLC / VeoStudio, its affiliates, officers, directors, employees, and agents from any claims, liabilities, damages, losses, costs, or expenses (including legal fees) arising from:

• Your use of the Service
• Your violation of these Terms
• Your violation of any law or third-party rights
• Content you upload or generate through the Service

10.1 Informal Resolution

Before filing a claim, you agree to contact us at legal@veostudio.ai to attempt to resolve the dispute informally.

10.2 Binding Arbitration

If informal resolution fails, disputes will be resolved through binding arbitration rather than in court, except for disputes related to intellectual property or injunctive relief. Arbitration will be conducted under the rules of the American Arbitration Association (AAA) or JAMS.

10.3 Class Action Waiver

You agree to resolve disputes on an individual basis only and waive any right to participate in class actions or representative proceedings.

These Terms are governed by the laws of the State of New Mexico, United States, without regard to conflict of law principles. Any disputes not subject to arbitration shall be resolved exclusively in the state and federal courts located in New Mexico, and you consent to the personal jurisdiction of those courts.

12.1 Termination by You

You may terminate your account at any time by contacting us or using the account deletion feature. Upon termination, your access to the Service will cease, but you will retain access to any unused tokens until expiration.

12.2 Termination by Us

We may terminate or suspend your account immediately if you violate these Terms, engage in fraudulent activity, or for any reason at our discretion. We will provide notice when possible.

12.3 Effect of Termination

Upon termination, your right to use the Service ceases immediately. We may delete your account data after 30 days. Sections of these Terms that by their nature should survive termination will survive, including ownership, disclaimers, indemnification, and dispute resolution.
